Internet been down for a minute.
however, during that time I got this thing figured out.
Went and bought a new mobo to fix STS problem(945 intel)...no good.
Returned mobo, Followed tgts advice, "use windows 98", However, before attempting, I RTFM...

"For improved performance
-Windows 2000/XP install initially in ACPI mode, in which PCI cards are all set to use IRQ9(???,not so). This can negatively impact system performance. We recommend switching to "Standard PC" mode. First make sure that the BIOS option "Plug and Play OS" is set to "NO". Then open the Windows Device Manager, click on "Computer" and then double-click "ACPI-PC". Select "Driver" and then "Update driver". Here, click "Select from a list of known drivers" and then "All hardware components in this device class". In the list in the right-hand window select "Standard PC". Windows 2000/XP will restart and will reinstall all hardware components. From this point on, the PC will use IRQs as assigned in the BIOS. ."
(Thanks GaryB
and TGTS) Problem stemmed from "Bios" interrupt Sharing, not "Win Xp" IRQ sharing, as it reported no sharing. Go figure.
Now Win XP reports sharing with PCI Controller and Scope Card...still no problems, and i mean it!!
STS sampler running perfect on Win XP. Stress tested the Sh*t out of STS 4000...16 midi channels, active sensing on, 999 bpm, 1 hour(went to Walmart)...flawless.
Midi problems solved. No more crashes or freezes.
Lost dual core function. Only 1 core available under Standard PC. I can live with that.(yes i tried one core function with ACPI...no good)
3 DSP card still leaves wanting for more.
Glad to be aboard. Hunting gear on.
Coming soon "The Newbie Report" Issue 1
P.S. James...you have mail(I hope). need fax #.
(maybe i should have put this in "Problem Solving Forum". Srry)
